These Terms of Service ("Terms") govern your access to and use of the website located at www.ziepie.shop (the "Site") and the professional, scientific, and technical services provided by ZIE PIE LLC ("we," "our," or "us"). By accessing or using our Site or services, you agree to be bound by these Terms.
By accessing or using our Site or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We reserve the right to update these Terms at any time. Your continued use following modifications constitutes acceptance of the revised Terms.
ZIE PIE LLC provides computer systems design and related services within the Professional, Scientific, and Technical Services sector, including systems design, integration, cloud and DevOps, security, data and analytics, and consulting. Specific scope and deliverables are defined in separate agreements.
You must be at least 16 years of age to use our services. You agree not to violate any laws, access our systems without authorization, transmit malicious code, or use automated means without our consent.
All content on our Site is the property of ZIE PIE LLC and is protected by intellectual property laws. Upon full payment, clients receive a limited, non-transferable license to use deliverables created under a signed statement of work.
Both parties agree to maintain confidentiality of proprietary information disclosed during engagements. This obligation survives termination for five years.
Clients agree to provide accurate information, designate a decision-making representative, provide timely feedback, grant necessary access, and pay fees as specified in the applicable agreement.
Payment terms are net 30 days from invoice. Late payments may incur 1.5% monthly interest. All fees are non-refundable except as expressly provided.
Our total liability shall not exceed the fees paid by the client for the specific services giving rise to the claim during the preceding twelve months. We are not liable for indirect, consequential, or punitive damages.
You agree to indemnify us against claims arising from your use of our services in violation of these Terms, violation of third-party rights, violation of applicable law, or content you submit through our Site.
Services are performed in a professional manner. Deliverables conform to specifications for 90 days. Our sole remedy is correction or refund. Except as expressly stated, services are provided "as is" without warranties.
Either party may terminate with 30 days' notice. Immediate termination for material breach not cured within 15 days. Client pays for services through the termination date.
Neither party is liable for performance delays due to causes beyond reasonable control, including natural disasters, war, pandemics, and network failures.
These Terms are governed by the laws of the State of Washington. Disputes shall be resolved through binding arbitration in King County, Washington.
These Terms constitute the entire agreement. Invalid provisions shall be reformed to the minimum extent necessary. Waiver of any term is not a continuing waiver.
